These Terms of Service govern use of Equitista by business entities and their authorized users.

Acceptance and Eligibility

By using the service, you confirm authority to bind your organization and agree to these terms.

  • Use is limited to lawful business purposes and authorized workspace users.
  • You are responsible for credentials, user provisioning, and account activity under your organization.
  • If you do not agree with these terms, do not access or use the service.

Subscriptions, Billing, and Renewals

Commercial terms may be defined by order forms, enterprise agreements, or published plan terms.

  • Fees are payable as invoiced, excluding taxes unless expressly stated otherwise.
  • Late payments may result in suspension after commercially reasonable notice.
  • Trials and promotional plans may include separate limits and expiration conditions.

Customer Content and Responsibilities

Customers retain rights in their content and are responsible for lawful upload and use of source materials.

  • You grant Equitista limited rights necessary to host, process, and deliver requested outputs.
  • You represent that uploaded materials do not violate applicable law or third-party rights.
  • You are responsible for validation and downstream use of analytical outputs in final decisions.

Acceptable Use and Restrictions

Service abuse, unauthorized access attempts, and harmful automation are prohibited.

  • You must not reverse engineer, probe vulnerabilities, or interfere with service availability.
  • Automated scraping beyond documented access patterns is prohibited without written permission.
  • Details are further described in the Acceptable Use Policy.

Disclaimers and Liability Limits

The service is provided on an as-is basis with commercial warranty and liability limits customary for SaaS.

  • Except as expressly stated, Equitista disclaims implied warranties to the extent permitted by law.
  • Neither party is liable for indirect, consequential, or special damages.
  • Aggregate liability is limited to amounts paid by customer in the 12 months before claim.

Governing Law and Disputes

These terms are governed by Delaware law, with dispute venue in Delaware courts unless otherwise agreed.

  • The governing law is the State of Delaware, without regard to conflict-of-law rules.
  • The parties consent to exclusive jurisdiction and venue in Delaware courts.
  • Injunctive relief may be sought for misuse of confidential information or IP rights.
